A Private Limited Company (Pvt Ltd) is the most popular legal structure for Indian startups, particularly those that plan to raise external capital. It offers limited liability to its shareholders, perpetual succession, and a clear separation between the business and its founders — the structure that VCs, angels, and serious investors expect.
We handle every step end-to-end: from obtaining Digital Signature Certificates and Director Identification Numbers, through name reservation with the MCA, drafting the Memorandum and Articles of Association, filing the SPICe+ incorporation form, and post-incorporation compliances like PAN, TAN and bank account opening assistance.
Key benefits
- Limited liability protection. Personal assets of shareholders are protected. Liability is capped at unpaid share capital.
- Investor-ready structure. Clean cap table with shares, classes, and ESOP-readiness — what every VC and angel expects.
- Perpetual succession. The company keeps existing through changes in directors, founders, or shareholding.
- Tax incentives. Eligible for startup-India tax holidays, deductions and other government schemes.
- Brand credibility. Customers, partners and banks trust a registered company over an individual or partnership.
- Easy ownership transfer. Shares can be transferred for fundraising or exit without disrupting operations.
